These Terms & Conditions govern the installation, licensing, use, support, maintenance, and services relating to software products provided by Ramalogy, including HMIS, School ERP, Dairy/Milk ERP, Billing/Invoice ERP, College ERP, and other software solutions. Product-specific conditions may additionally apply depending upon the Software, package, modules, services, deployment model, and requirements agreed with the Client.
The Client is granted limited, non-exclusive, non-transferable rights to use the Software for the organization, location, users, modules, and purpose for which it has been provided. The Software remains the intellectual property of Ramalogy. Payment for the Software does not transfer ownership or source code to the Client.
The Client shall use the Software only for legitimate organizational or business purposes and shall ensure that its employees and authorized users comply with these Terms. The Client shall not copy, reproduce, distribute, modify, reverse engineer, decompile, sublicense, transfer, rent, lease, sell, or resell the Software. Unauthorized use or violation of the license may result in suspension or termination of the Software and may lead to appropriate legal action.
During installation or onboarding, the Client may be registered using organization details, contact number, email ID, and an authorized contact person. The Client shall keep such information accurate and updated. For support, verification, license-related matters, or important service requests, Ramalogy may require communication through the registered contact details.

The Client shall maintain appropriate internal controls and verify records, reports, calculations, and transactions generated through the Software.
The Client is responsible for the accuracy of its data and for maintaining regular backups. For offline/local installations, the Client is responsible for protecting the database and system against hardware failure, accidental deletion, malware, power failure, storage failure, and other local-system risks.
Offline/local Software may be installed on the Client's designated computers or server according to the agreed configuration. The Client is responsible for the hardware, operating system, local network, storage, power supply, and other local infrastructure required to operate the Software. Ramalogy does not provide real-time monitoring or remote access to offline/local installations because such installations operate on local systems.
The Software provided for a particular organization, branch, premises, server, or location shall be used only within the agreed scope.
The Client shall make payments for license fees, installation, implementation, customization, AMC, renewal, and other services according to the agreed commercial terms. Payments are non-refundable once the relevant Software or service has been delivered, activated, installed, commenced, or used.
Customization shall be provided according to the agreed scope, charges, and timelines. Additional requirements or change requests may result in additional charges or revised timelines.

Where AMC or maintenance services are purchased, support shall be provided according to the applicable AMC scope and validity period. Services may include user training, software updates, operating system compatibility updates, performance optimization, and reinstallation support (in case of a server or main system crash). Support and maintenance services are available only during the active and valid AMC period. Upon expiry of the AMC, such services will be discontinued until the AMC is renewed. The Company shall not be liable for any issues, delays, or losses arising during any period in which the AMC is inactive or expired.
The Software may depend upon third-party services, APIs, payment gateways, SMS or messaging services, government platforms, cloud services, internet connectivity, operating systems, or other external systems. Such services may have their own terms, fees, requirements, limitations, changes, downtime, or availability issues. Ramalogy shall not be responsible for interruptions, changes, restrictions, or unavailability caused by such third-party services or external systems.
The Software is provided as a technological tool for business, educational, healthcare, dairy, billing, accounting, administrative, or other organizational activities, as applicable. The Client remains responsible for professional, statutory, regulatory, financial, clinical, educational, administrative, and other applicable obligations relating to its use of the Software.
Ramalogy shall not be responsible for resolving or bearing liability for disputes, claims, or disagreements between the Client and its customers, patients, students, employees, vendors, or other third parties relating to payments, fees, refunds, balances, transactions, records, or services. The Client is solely responsible for verifying all transactions, payments, fees, refunds, balances, records, and other information entered or generated through the Software, maintaining appropriate records, and resolving such disputes with the concerned parties, subject to applicable law.
Ramalogy may suspend or terminate Software access or services in cases including non-payment, material breach of these Terms, unauthorized copying or distribution, license violation, misuse, or other material violation of the agreed terms. Upon termination or expiry of the applicable license, the Client shall cease any unauthorized use of the Software.
